1. Acceptance of Terms

By accessing or using the MeadowWave Software Inc. website, platform, or services (“Services”), you agree to be bound by these Terms and Conditions, all applicable laws, and any additional policies referenced herein. If you do not agree, you are prohibited from using or accessing the Services.

2. Use License

a. MeadowWave Software Inc. grants you a limited, non-exclusive, non-transferable license to access and use the Services for your business or personal use, subject to these Terms. This is a license, not a transfer of ownership.

b. Under this license, you may not:

i. Modify, copy, or distribute the Services or content without prior written consent.

ii. Use the Services for any unlawful purpose or in violation of applicable regulations.

iii. Attempt to decompile, reverse engineer, or otherwise tamper with any software provided by MeadowWave.

iv. Remove or alter any copyright, trademark, or proprietary notices.

v. Resell, lease, or sublicense the Services without prior authorization.

c. This license automatically terminates if you violate these restrictions and may be revoked by MeadowWave Software Inc. at any time. Upon termination, you must cease use of the Services and destroy any downloaded materials in your possession.

3. Disclaimer

a. The Services are provided on an “as is” and “as available” basis. MeadowWave Software Inc. makes no warranties, express or implied, including (but not limited to) warranties of merchantability, fitness for a particular purpose, or non-infringement.

b. MeadowWave does not warrant or make representations concerning the accuracy, reliability, or results of the Services, or with respect to any linked websites or integrations.

4. Limitations of Liability

In no event shall MeadowWave Software Inc., its affiliates, or suppliers be liable for any damages (including, without limitation, loss of profits, business interruption, loss of data, or indirect or consequential damages) arising out of the use or inability to use the Services, even if MeadowWave has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of implied warranties or limitations of liability for incidental damages; in such cases, some of the above limitations may not apply.

5. Accuracy of Information

The materials and information on the MeadowWave Software Inc. website and Services may contain technical, typographical, or other errors. MeadowWave does not guarantee that any content is accurate, complete, or current. We may update or modify content at any time without notice but are under no obligation to do so.

6. Third-Party Links & Integrations

Our Services may include links to or integrations with third-party websites, software, or services (e.g., Stripe, Google, Facebook). MeadowWave Software Inc. does not review, control, or endorse these third parties and is not responsible for their content, policies, or practices. Use of third-party services is at your own risk and may be subject to their terms and policies.

MeadowWave Software Inc. may revise these Terms of Service at any time without notice. By continuing to use the Services, you agree to be bound by the most current version of these Terms.

8. Payments & Refund Policy

a. Payments: All subscription fees, setup fees, and service charges are due as outlined during signup or as invoiced. Failure to pay may result in suspension or termination of Services.

b. Refunds: Subscription fees are non-refundable once Services have been provisioned. Setup fees, completed design work, or delivered services are also non-refundable. At our sole discretion, partial refunds may be issued for unused future months if Services are canceled early.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Ontario, Canada, and you irrevocably submit to the exclusive jurisdiction of the courts located in Ontario.
